    Understanding Cap Tables

Cap tables have very important implications for raising funds and returns to investors and founders. Understanding Cap Tables helps attendees wade through the confusion in a half-day, case-study focused workshop. Topics covered include:

1. What are cap tables?

2. How to build a starting cap table

3. Using excel/templates for cap tables

4. What happens to the cap table each time another round of funding is raised?

5. Valuation calculations

6. Using term sheets

7. Implications of different types of notes and down rounds

8. Understanding the exit 'waterfall' (liquidity sequence)

9. Types of liquidation preferences and anti-dilution provisions

10. Other scenarios that impact the cap table (e.g., founder departure)

11. Legal and tax issues

Attendees will walk away having practiced the math involved in cap tables and what to do in many different scenarios, making them better prepared for reading or helping create/modify cap tables in the future. This course was developed by ARI instructor, Matt Dunbar.
